Partner and Financial Services Disclaimer

    The CardsPro technology platform and the associated intellectual property are owned by Kaizo FZE LLC., a company incorporated under the laws of the British Virgin Islands, with its registered office at Geneva Place, Waterfront Drive, PO Box 3469, Road Town, Tortola, British Virgin Islands (the "System Owner").

    CardsPro is a technology platform and is not a bank, deposit-taking institution, electronic money institution, payment institution, card issuer, card network or other financial institution. Card issuance, payment processing, safeguarding, settlement and other regulated financial or payment services are provided by independent licensed or otherwise duly authorised third-party partners under their own terms, regulatory permissions and acceptance criteria.

    1. Purpose and scope

    This Disclaimer explains the distinction between the CardsPro technology platform and the independent third parties involved in card issuance, payment processing, safeguarding, settlement, card-network access, identity verification, fraud prevention and related services.

    It applies to CardsPro websites, dashboards, APIs, white-label interfaces, product descriptions, presentations, support communications and marketing materials. It should be read with the CardsPro Terms of Service, Privacy Policy, applicable Order Form and relevant Partner terms.

    2. Ownership of CardsPro

    Kaizo FZE LLC. is the owner and proprietor of the CardsPro platform, software, API, dashboard, documentation, workflows, designs, trademarks and related intellectual property, except for third-party materials expressly identified as belonging to another rights holder.

    References to “CardsPro”, “System Owner”, “we”, “us” or “our” refer to Kaizo FZE LLC. only in its capacity as owner and provider of the CardsPro technology platform. A reference to CardsPro is not a reference to an issuer, bank, card network or other regulated Partner.

    3. CardsPro is a technology platform

    CardsPro may provide or coordinate software infrastructure, API connectivity, onboarding workflows, dashboard tools, user-permission functions, transaction-data display, technical support, reporting, card-management instructions, fraud-prevention tools and operational risk controls.

    These functions do not, by themselves, constitute deposit taking, card issuing, acquiring, electronic-money issuance, safeguarding, money transmission, payment execution, foreign-exchange dealing or another regulated financial service.

    Kaizo FZE LLC. does not claim to hold a banking, payment-institution, electronic-money or card-issuing licence merely because regulated Partner functionality can be accessed through CardsPro.

    4. Independent licensed or authorised Partners

    Card and payment functionality is provided through independent Partners which may include:

    • banks and card issuers;
    • payment institutions and electronic-money institutions;
    • card programme managers and banking-as-a-service providers;
    • acquiring, processing, settlement and safeguarding providers;
    • card networks and network participants;
    • KYC/KYB, sanctions and transaction-monitoring providers; and
    • fraud-prevention, tokenisation, wallet, infrastructure and technical providers.

    A Partner is responsible for maintaining any licence, registration, authorisation, capital, safeguarding arrangement and regulatory control applicable to the service it independently provides. The scope and territorial validity of a Partner’s permission depend on its own regulator and approved activities.

    5. Separate contractual and regulatory roles

    The System Owner and each Partner are separate legal persons. Unless a signed agreement expressly provides otherwise, no Partner is an employee, agent, branch, representative, joint venturer or guarantor of the System Owner, and the System Owner is not an employee, agent, branch, representative, joint venturer or guarantor of a Partner.

    The relationship relevant to a particular product is determined by the applicable contracts, onboarding flow, regulatory allocation, privacy notices and Partner terms. A user may be required to accept separate issuer, cardholder, payment, wallet or other Partner terms before regulated functionality is activated.

    Nothing on the CardsPro platform transfers a Partner’s licence or regulated status to Kaizo FZE LLC., a Client, a white-label operator or an End User.

    6. Funds, balances and safeguarding

    Unless expressly stated in a separate written agreement and legally authorised, Kaizo FZE LLC. does not accept deposits, issue electronic money or hold or safeguard Client funds on its own balance sheet.

    Funds used for regulated card or payment functionality are received, held, safeguarded, processed or settled by the relevant Partner under that Partner’s legal and contractual framework.

    Balances and transaction statuses displayed through CardsPro are operational representations based on System Owner and Partner records. They are not bank statements, deposit confirmations or independent guarantees of available funds and may be corrected following final settlement, refunds, reversals, chargebacks, network assessments or Partner adjustments.

    7. Card issuance, authorisation and settlement

    A request submitted through CardsPro is not a guarantee that a card will be issued or a transaction approved. The relevant issuer or Partner may apply its own eligibility, KYC, geographic, product, merchant and transaction criteria.

    Transaction authorisation, clearing and settlement occur through merchant, acquirer, card-network, processor and issuer systems. A merchant may refuse a card, classify a transaction under a particular merchant category, submit a delayed debit, cancel an authorisation or initiate a refund independently of CardsPro.

    A displayed transaction may remain pending or be reversed, adjusted, charged back or corrected. Partner and card-network records may control final settlement and dispute deadlines.

    8. Availability and product configuration

    Availability of a card product, BIN, currency, funding route, top-up method, withdrawal method, wallet tokenisation, Apple Pay, Google Pay, merchant category, limit, country or white-label feature depends on applicable law, Partner approval, card-network rules, sanctions restrictions, risk assessment and technical capability.

    Website, dashboard or marketing references describe potential platform capability and do not guarantee availability to every Client or jurisdiction. Product configuration may differ between Clients and may change when a Partner, network or regulator changes its requirements.

    The System Owner may replace a Partner, migrate a service, change a technical route, introduce limits or discontinue an affected feature. Reasonable notice will be provided for material non-urgent changes where practicable, but mandatory or emergency changes may take effect immediately.

    9. Partner terms and decisions

    Partner terms may govern eligibility, onboarding, permitted use, card lifecycle, limits, settlement, safeguarding, refunds, chargebacks, complaints, data processing, suspension and termination.

    Partners may independently:

    • request documents or enhanced due diligence;
    • approve or reject an applicant or End User;
    • decline, reverse or delay a transaction;
    • block, suspend, replace or terminate a card;
    • restrict countries, merchants, currencies or funding methods;
    • retain records or report activity where required by law; and
    • modify or discontinue their services.

    The System Owner may be contractually or legally required to implement a Partner decision and may be unable to disclose confidential risk rules, investigation details or a reason where disclosure is prohibited.

    10. No universal endorsement or guarantee

    A reference to a Partner, network, payment method, logo, award, integration or third-party product may identify a technical or commercial relationship. Unless expressly confirmed in writing by the relevant rights holder, it does not constitute endorsement, sponsorship, certification, agency, guarantee or assumption of liability.

    Likewise, the availability of CardsPro through a Client’s white-label interface does not mean that the System Owner or a Partner endorses that Client’s business, marketing, pricing, products or compliance.

    No Partner guarantees the System Owner’s obligations, and the System Owner does not guarantee a Partner’s independent obligations except where expressly agreed in writing or mandatory law provides otherwise.

    11. No financial, legal or investment advice

    CardsPro content and operational data are provided to facilitate use of the technology platform. They do not constitute banking, investment, legal, tax, accounting or regulatory advice and should not be relied upon as a recommendation to enter into a transaction or select a jurisdiction, currency, Partner or financial product.

    Clients must obtain independent professional advice concerning their own licensing, consumer, tax, sanctions, payment, advertising and data-protection obligations.

    12. Branding, logos and intellectual property

    Partner, issuer, card-network and payment-method names, logos and designs remain the property of their respective owners. Their appearance does not transfer any intellectual-property right.

    Clients, white-label operators and API integrators must not use or publish a CardsPro, Capitalist, Partner, issuer, card-network or payment-method name, logo, BIN reference, card artwork or brand asset without prior written approval where required.

    Approved use must comply with current brand guidelines, card-network rules, Partner instructions and applicable advertising law. Approval may be withdrawn, and the relevant material must then be amended or removed without undue delay.

    13. Client and End User communications

    Clients are responsible for ensuring that their websites, applications, offers, user agreements, advertisements and support communications accurately describe the service model.

    Unless factually correct and expressly approved, a Client must not state or imply that:

    • CardsPro or Kaizo FZE LLC. is a bank or financial institution;
    • the Client is licensed or regulated through CardsPro;
    • Kaizo FZE LLC. itself issues cards, safeguards funds or executes regulated payments;
    • a named Partner or card network endorses or guarantees the Client;
    • card issuance, merchant acceptance or transaction approval is guaranteed; or
    • every displayed product or feature is available in all countries.

    Where required, End Users must be provided with the identity and applicable terms of the independent regulated Partner before using the relevant Partner service.

    14. Compliance and risk controls

    CardsPro and Partners may require KYB, KYC, beneficial-ownership checks, sanctions and PEP screening, source-of-funds review, transaction monitoring, merchant restrictions, reserves, limits or other risk controls.

    These controls support lawful and safe use of the platform and compliance with contractual obligations. Their application does not represent that Kaizo FZE LLC. is itself performing a regulated Partner function or accepting responsibility for a Partner’s statutory duties.

    Access may be refused, delayed, restricted, suspended or terminated where information is incomplete, risk is unacceptable or action is required by law, a Partner, a card network or a competent authority.

    15. Third-party websites, tools and content

    CardsPro may contain links to Partner websites, documentation, support resources or third-party tools. Links are provided for convenience and do not mean that the System Owner controls the third party’s content, availability, security or privacy practices.

    Users should review applicable third-party terms and privacy notices before providing data or using a third-party service. The System Owner is not responsible for content or processing that occurs entirely outside systems under its control, except where mandatory law provides otherwise.

    16. Third-party interruptions and liability

    The System Owner will use commercially reasonable efforts to coordinate technology and Partner connectivity but cannot guarantee uninterrupted Partner systems, merchant acceptance, card-network availability, authorisation decisions, settlement timing or continuing regulatory permission.

    To the maximum extent permitted by law, the System Owner is not liable for independent acts, omissions, refusals, delays, outages or regulatory decisions of a Partner, merchant, card network, authority or telecommunications provider. Any contractual limitation of liability in the CardsPro Terms of Service or applicable agreement also applies to matters addressed by this Disclaimer.

    Nothing excludes liability that cannot lawfully be excluded or liability expressly assumed by the System Owner in a signed agreement.

    17. Changes

    We may update this Disclaimer to reflect changes in Partners, product architecture, regulatory allocation, card-network requirements or platform functionality. Material changes will be published on the CardsPro website or communicated through the Service where appropriate.

    An update does not retrospectively create an endorsement, agency or regulated status that did not exist.
